Terms of Service
These Terms of Service ("Terms") govern your use of meritfi.co and the Merit service (the "Service"). Merit is a financial technology service. The legal entity operating Merit is currently in formation. Once formation is complete, these Terms will be updated to reflect MeritFi Technologies, Inc. or its successor entity as the operating party.
By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What Merit is
Merit is a credit identity service. We build a multi-dimensional profile of your financial standing using information you provide, then generate a Merit Score that reflects what we see in your profile. The Merit Score is directional and informational. It is not a credit decision, pre-approval, loan offer, or guarantee of any specific financial outcome. We do not currently issue credit, lend money, or extend financial products.
2. Eligibility
You must be at least 18 years old to use the Service. By using the Service you confirm that you are 18 or older and have the legal capacity to enter into these Terms.
3. Your account and information
You agree to:
- Provide accurate, current, and complete information when you build your profile.
- Update your information if it changes materially.
- Use the Service only for personal, lawful purposes.
- Not impersonate another person, create profiles for others without authorization, or submit fraudulent information.
Submitting false or misleading information may result in suspension or deletion of your account.
4. No credit decision
Nothing produced by the Service constitutes a credit decision, loan offer, pre-approval, or guarantee of any specific terms. We do not conduct hard credit inquiries. We do not issue or underwrite credit. Any future matching with lending partners will be contingent on your explicit consent and on the lender's own underwriting process, which is independent of Merit.
The Merit Score is a directional estimate produced by our scoring engine. It is not a regulatorily defined credit score. Calibration improves as we accumulate outcome data with partner banks.
5. Use of automated systems
Our scoring engine uses automated systems, including large language models, to evaluate profile information and generate explanations. Scoring math is deterministic and reproducible. Natural-language explanations are generated by automated systems and are intended to help you understand your profile, not as financial advice.
6. No financial advice
The Service does not provide financial, legal, tax, or investment advice. Any information presented through the Service is for general informational purposes only. You should consult a qualified professional for advice specific to your situation.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose.
- Attempt to access another user's profile or data.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Use automated tools to scrape, harvest, or collect data from the Service.
- Interfere with the operation of the Service or its security.
- Submit content that is fraudulent, defamatory, or violates the rights of others.
We may suspend or terminate your access for violations of these terms.
8. Termination
You may stop using the Service and request deletion of your account at any time by emailing legal@meritfi.co.
We may suspend or terminate your access to the Service at our discretion, with or without notice, if you violate these Terms or if we believe your use of the Service poses risk to other users, our systems, or our business.
9. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or that the Merit Score will accurately predict any specific credit outcome.
10. Limitation of liability
To the maximum extent permitted by law, Merit will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or related to your use of the Service.
Our total cumulative liability to you for all claims related to the Service is limited to one hundred US dollars ($100).
11. Intellectual property
The Service, including its design, code, content, and the Merit Score methodology, is owned by Merit (and will be owned by MeritFi Technologies, Inc. upon incorporation). You receive no rights to our intellectual property except the limited right to use the Service for its intended purpose.
You retain ownership of the information you provide to us. By using the Service, you grant us a non-exclusive, royalty-free license to use that information to operate and improve the Service.
12. Changes to the Service
We may modify, suspend, or discontinue all or part of the Service at any time. We will provide reasonable notice of material changes through the Service or by email.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes constitutes acceptance of the revised Terms.
14. Reservation of rights
These Terms reflect Merit at an early stage. We reserve the right to update these Terms substantially as our product, entity, and partnerships develop. Material future products (including financial product matching, lender partnerships, and credit-related services) will be subject to additional terms presented to you at the time of use.
15. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Delaware.
